Terms of Service

1. What ZenMail Is

ZenMail is a native Mac email client that connects to Gmail via Google's official APIs. It is currently in early access / beta. Features, availability, and pricing are subject to change.

2. License to Use the Software

ZenMail grants you a limited, non-exclusive, non-transferable, revocable license to install and use the application on Mac devices you own or control, for personal or professional use, subject to these terms. Your access to the software is licensed, not sold.

You may not:

• Reverse-engineer, decompile, or disassemble the application
• Distribute, sublicense, or resell the application or any license key
• Use the application to build a competing product
• Remove or alter any copyright notices or proprietary labels
• Use data mining, bots, or automated extraction tools against our services

Any unauthorized use shall automatically terminate this license. ZenMail reserves all rights not expressly granted to you under these terms.

3. Early Access & Beta

ZenMail is provided as early-access software. This means it may contain bugs, change significantly, or be unavailable at times. We make no guarantees about uptime, data integrity, or feature availability during this period.

Feedback you provide during beta (bug reports, feature requests, general input) may be used to improve the product. We won't attribute it publicly without your permission.

4. Your Responsibilities

You are responsible for:

• Maintaining the security of your device and Google account
• Ensuring your use of ZenMail complies with your employer's policies, if applicable
• Not using ZenMail to send spam, phishing emails, or any content that violates applicable law
• Complying with Google's Terms of Service, as ZenMail accesses Gmail on your behalf

5. Google API Compliance

ZenMail's use of Google APIs is subject to the Google Terms of Service. ZenMail only accesses Gmail data to provide email functionality directly to you. We do not use Google user data for advertising, profiling, or any purpose beyond operating the app for the account holder.

6. Purchases & Licensing

ZenMail may offer paid licenses. Purchases are processed through Polar, our payment provider. All sales are final unless otherwise required by applicable law. License keys are non-transferable and valid for the number of devices stated at purchase.

7. Privacy

Our Privacy Policy is incorporated into these terms and governs how we handle any information we collect.

8. Indemnification

You agree to indemnify, defend, and hold harmless ZenMail and its owners, officers, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the application or services; (b) your violation of these terms; (c) your violation of any applicable law or third-party rights; or (d) any content you send using the application.

9. Disclaimer of Warranties

YOU USE ZENMAIL AT YOUR OWN RISK. THE APPLICATION AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZENMAIL DOES NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ZENMAIL OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENMAIL AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND — INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF ZENMAIL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS PROHIBITED OR FAILS OF ITS ESSENTIAL PURPOSE, ZENMAIL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) US$100.00.

YOU AND ZENMAIL AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE ARISING HEREUNDER WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, COLLECTIVE ACTION, OR PRIVATE ATTORNEY-GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU ACT IN A REPRESENTATIVE CAPACITY. NO PROCEEDING WILL BE JOINED OR CONSOLIDATED WITH ANOTHER PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF ZENMAIL AND ALL PARTIES.

11. Termination

You may stop using ZenMail at any time by uninstalling it. We may suspend or terminate your access if you violate these terms, without prior notice or liability. Upon termination, your license to use the application immediately ceases. Sections 7–10 and 13 survive termination.

12. Changes to These Terms

We may update these terms as the product evolves. We'll update the effective date above and, for material changes, provide notice via email (if you're on our waitlist) or within the app. Continued use after the effective date constitutes acceptance of the updated terms.

13. Governing Law & General Provisions

These terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Any disputes will be resolved exclusively in the competent courts located in Tel Aviv, Israel, and you consent to personal jurisdiction in those courts.

If any provision of these terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. ZenMail may assign these terms, in whole or in part, at any time without notice to you. You may not assign your rights or obligations under these terms without our prior written consent. The failure of ZenMail to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. These terms constitute the entire agreement between you and ZenMail regarding their subject matter and supersede all prior agreements.
